All payments are processed securely through trusted third-party payment processors. UAB Eight Stars does not store or handle sensitive payment information directly. ‍Ownership and Permissions: You retain ownership of the content you upload but grant UAB Eight Stars a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and modify that content as necessary to provide, maintain, and improve the services. ‍Responsibility: You are solely responsible for any Uploaded Content you share, including its accuracy, legality, and appropriateness. UAB Eight Stars is not liable for any claims arising from your Uploaded Content, and you agree to indemnify and hold us harmless against any legal action resulting from the content you upload.

You may not post content that is defamatory, obscene, harassing, threatening, hateful, violent, vulgar, pornographic, or otherwise offensive. Additionally, your Uploaded Content must not infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party.

‍Content Removal: UAB Eight Stars reserves the right, at our sole discretion, to remove or modify any Uploaded Content that we believe violates these Terms or poses a risk to our services, our users, or any third parties. We may also remove content to comply with legal or regulatory requirements or to address user complaints.

‍Use of Publicly Shared Content: If you post content publicly—such as reviews or comments visible to other users—you acknowledge that it may be seen, used, and shared by others. While we strive to maintain a respectful environment, we are not responsible for how other users may use publicly shared content.

‍No Confidentiality: Uploaded Content is not considered confidential or proprietary. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless UAB Eight Stars, its affiliates, officers, directors, employees, contractors, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including, but not limited to, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the services; (b) your violation of these terms; (c) your breach of any law or the rights of any third party; or (d) your uploaded content or other user-generated material that you post, submit, or otherwise make available through the services.UAB Eight Stars reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with us in asserting any available defenses. You may not settle any matter without the prior written consent of UAB Eight Stars.

‍Governing Law
These terms are governed by and interpreted in accordance with the laws of the European Union and the Republic of Lithuania. You agree that any dispute arising from or relating to these terms or the use of the services will be subject to the exclusive jurisdiction of the courts located in Vilnius, Lithuania.

‍Dispute Resolution
By using our Services, you agree that any disputes, claims, or controversies arising out of or relating to these Terms, our Privacy Policy, or the use of our Services will be resolved through binding arbitration rather than in court. This includes disputes concerning the interpretation and scope of this arbitration clause, as well as the arbitrability of any claim.ARBITRATION PROCESS
-The arbitration will be conducted confidentially and administered in accordance with the rules of a recognized arbitration body, such as the Arbitration Institute of the Stockholm Chamber of Commerce.
-The arbitrator will be neutral and chosen by mutual agreement, or if no agreement can be reached, according to the arbitration rules in place.
-The arbitration will take place in Vilnius, Lithuania, unless another location is mutually agreed upon.
-The arbitrator’s decision will be final and binding. Judgment on the arbitration award may be entered in any court with jurisdiction.CLASS ACTION AND JURY TRIAL WAIVER: You agree to resolve disputes on an individual basis. You may not bring claims as a plaintiff or class member in a class action, consolidated action, or representative proceeding. Furthermore, you waive your right to a trial by jury for all claims and disputes covered by this arbitration agreement.
EXCEPTIONS TO ARBITRATION: You may bring individual claims in a small claims court if the claims qualify, and either party may seek injunctive relief for intellectual property claims or other matters of urgency in a court of competent jurisdiction.
OPT-OUT PROVISION: If you do not wish to agree to this arbitration clause, you must notify us in writing within 30 days of first using our Services. Your opt-out notice must include your full name, the email address associated with your account, and a clear statement of your decision to opt out. Please send your opt-out notice to legal@eightstars.app. If you opt out, the remainder of these Terms will continue to apply, but this arbitration provision will not.
COSTS AND FEES: Each party is responsible for their own legal fees. Arbitration-related fees will be handled according to the arbitration rules or as determined by the arbitrator. We will work in good faith to ensure that arbitration costs do not prevent you from pursuing your claim.
GOVERNING LAW AND VENUE FOR NON-ARBITRATION MATTERS: If this arbitration agreement is found unenforceable, or if you opt out, the exclusive jurisdiction for all non-arbitration disputes will be the courts of Vilnius, Lithuania. In such cases, Lithuanian law will govern these Terms and any disputes arising under them.

‍Limitation on Time to File Claims
You agree that any claim, dispute, or cause of action arising out of or related to the use of our Services or these Terms must be initiated within one (1) year after the claim or cause of action accrues. If it is not filed within this timeframe, the claim or cause of action will be permanently barred. This limitation applies to all forms of claims, including those under contract, tort, statutory, or any other legal theory.

‍Waiver and Severability
Failure by UAB Eight Stars to enforce any provision of these Terms shall not be considered a waiver of that provision or of the right to enforce it later. If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a competent court or legal authority, the remaining provisions of the Terms will remain in full force and effect. In such cases, the unenforceable provision will be revised to the extent permitted by applicable law to reflect as closely as possible the original intent.

‍Entire Agreement and Other General Terms
These Terms, along with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and UAB Eight Stars regarding the use of our Services. They supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral.Any rights or obligations under these Terms may not be transferred or assigned by you without our prior written consent. UAB Eight Stars may assign or transfer these Terms without restriction. Any attempt by you to transfer your rights under these Terms without our consent will be null and void.No agency, partnership, joint venture, or employment relationship is created as a result of these Terms or your use of our Services. Each party acknowledges that it is acting independently, and no party has authority to bind the other in any way.The section headings used in these Terms are provided solely for convenience and shall not affect the interpretation of the provisions within.
